the owner; subcontractors are often subject to contractual "flow-down" provisions that they may be unaware of, or
powerless to change. They may also lack the economic bargaining power to eliminate objectionable provisions of subcontracts
drafted by prime contractors. Subcontractors may have difficulty getting paid, because of “pay when paid” clauses or other
